Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Codesift LLC, a Washington State limited liability company (“Codesift,” “we,” “us,” or “our”), governing your access to and use of the Codesift platform available at https://codesift.ai and related services (collectively, the “Service”).

By creating an account, purchasing credits, or otherwise accessing the Service, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to “you” include that organization.

2. Definitions

As used in these Terms:

  • “Account” means the account you create to access the Service.
  • “Credits” means the prepaid usage units purchased by you and consumed when you use the Service to process Submissions.
  • “Customer Data” means all data, text, and other content submitted to the Service by you or on your behalf, including survey responses and associated metadata.
  • “Output” means the coded categorization results, labels, and related data generated by the Service from your Customer Data.
  • “Submission” means a single unit of Customer Data (e.g., one survey response text) processed by the Service.
  • “Authorized User” means any individual you authorize to access the Service under your Account.

3. Account Registration

3.1 Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts to use the Service. By registering, you represent and warrant that you meet these requirements.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your Account.

3.3 Account Security

You must notify us immediately at legal@codesift.ai if you become aware of any unauthorized use of your Account. We are not liable for any loss resulting from unauthorized use of your credentials where you failed to take reasonable precautions.


4. The Service

4.1 Description

Codesift is an artificial-intelligence-powered platform that ingests open-ended survey responses and other text data submitted by you and automatically assigns coded category labels (“codes”) based on thematic and semantic analysis. The Service is provided as software-as-a-service accessible via web interface and API.

4.2 Service Availability

We will use commercially reasonable efforts to make the Service available on a continuous basis. We do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, upgrades, or emergency security reasons, with advance notice where practicable.

4.3 API Access

If you access the Service via API, you must comply with the API documentation we provide. We reserve the right to rate-limit API access to protect system integrity. You may not circumvent any rate limits or technical restrictions.

4.4 Modifications

We reserve the right to modify, enhance, or discontinue features of the Service at any time. We will provide reasonable notice of material changes that adversely affect your use of the Service.


5. Credits and Payment

5.1 Credit-Based Pricing

Access to the Service is billed on a prepaid credit basis. Credits are purchased in advance and deducted from your balance as you use the Service. Current credit pricing and consumption rates are posted on the Service.

5.2 Purchase and Billing

All purchases are processed through our third-party payment processor, Stripe. By providing payment information, you authorize us to charge the applicable fees. All fees are stated in United States Dollars.

5.3 No Refunds

All credit purchases are final and non-refundable, except as required by applicable law. Unused credits do not expire unless your Account is terminated for cause under Section 12.2.

5.4 Taxes

You are responsible for all applicable taxes, duties, and other governmental charges associated with your purchases. We will add applicable taxes to invoices where required by law.

5.5 Free Tier / Trial Credits

We may offer trial or free credits at our sole discretion. Trial credits may carry additional restrictions and expiration dates as communicated at the time of issuance.


6. Acceptable Use

6.1 Permitted Uses

You may use the Service solely for lawful purposes consistent with these Terms and any applicable law.

6.2 Prohibited Conduct

You agree not to:

  • Submit Customer Data that contains personal data of children under 13 (or the applicable age of digital consent in your jurisdiction) without verifiable parental consent;
  • Use the Service to process data in violation of any applicable privacy law, including GDPR, CCPA, or HIPAA;
  • Attempt to reverse engineer, decompile, or extract the underlying AI models;
  • Use automated means (other than our supported API) to access the Service in a manner that exceeds normal usage or constitutes abuse;
  • Resell or sublicense access to the Service without our prior written consent;
  • Introduce malware, harmful code, or adversarial inputs designed to manipulate or corrupt the Service;
  • Use the Service in connection with illegal activities, including unauthorized collection of data from third parties;
  • Attempt to probe, scan, or test the vulnerability of the Service or any related system.

7. Customer Data

7.1 Ownership

As between the parties, you retain all ownership rights in your Customer Data. You grant us a limited, non-exclusive, worldwide license to process Customer Data solely to provide and improve the Service for you.

7.2 Responsibility for Data

You are solely responsible for the accuracy, legality, and content of Customer Data. You represent and warrant that you have all rights, permissions, and consents necessary to submit Customer Data to the Service and to authorize its processing as described in these Terms.

7.3 Data Retention

We retain Customer Data and Outputs in your Account until you delete them or your Account is terminated, whichever comes first. Upon Account termination, your data is deleted in accordance with our data deletion schedule described in the Privacy Policy.

7.4 No Training on Customer Data

We do not use your Customer Data to train or fine-tune AI models owned or operated by Codesift LLC without your express prior written consent.


8. Outputs and AI Limitations

8.1 Output Ownership

Subject to these Terms, Outputs generated from your Customer Data are owned by you. We make no claim to ownership of Outputs.

8.2 No Warranty on Accuracy

The Service uses AI models and probabilistic techniques. Outputs represent the model’s best assessment at the time of processing and may contain errors, omissions, or misclassifications. You are responsible for reviewing, validating, and independently verifying all Outputs before relying on them for any purpose.

8.3 No Professional Advice

The Service does not provide legal, medical, financial, psychological, or any other professional advice. Outputs are informational categorizations only.


9. Intellectual Property

9.1 Service IP

All intellectual property rights in the Service, including software, algorithms, models, interfaces, documentation, and trademarks, are owned by Codesift LLC or its licensors. Nothing in these Terms transfers any such rights to you.

9.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant Codesift LLC a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate such feedback into the Service without obligation to you.


10. Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that should reasonably be understood to be confidential (“Confidential Information”). Each party will use Confidential Information only to perform obligations or exercise rights under these Terms and will disclose it only to employees, contractors, and advisors who have a need to know. Obligations of confidentiality do not apply to information that is publicly available, independently developed, or required to be disclosed by law.


11. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy and, where applicable, our Data Processing Agreement, each of which is incorporated into these Terms by reference. By accepting these Terms, you acknowledge that you have read and understood our Privacy Policy.


12. Term and Termination

12.1 Term

These Terms are effective from the date you accept them and continue until your Account is terminated.

12.2 Termination for Cause

Either party may terminate the Account immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within 30 days after receiving written notice of the breach. We may terminate or suspend your Account immediately, without notice, if we determine in our sole discretion that your use violates Section 6 (Acceptable Use) or poses a security risk.

12.3 Termination for Convenience

You may terminate your Account at any time by contacting us. We may terminate the Service with 60 days’ written notice.

12.4 Effect of Termination

Upon termination, your right to access the Service ceases. Any unpaid amounts become immediately due. Unused credits will not be refunded, except where termination is by us without cause, in which case a pro-rated credit refund will be provided. Sections 7, 8, 9, 10, 13, 14, 15, and 16 survive termination.


13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CODESIFT LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.


14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL CODESIFT LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED ONE HUNDRED UNITED STATES DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF CERTAIN WARRANTIES OR LIABILITIES. IN THOSE JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.


15. Indemnification

You agree to indemnify, defend, and hold harmless Codesift LLC and its members, officers, employees, agents, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Service in violation of these Terms; (b) your Customer Data, including any claim that Customer Data infringes a third party’s intellectual property or privacy rights; or (c) your violation of any applicable law.


16. General Provisions

16.1 Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes arising from these Terms or the Service will be submitted to the exclusive jurisdiction of the state and federal courts located in Washington. You waive any objection to the exercise of jurisdiction over you by such courts.

16.2 Entire Agreement

These Terms, together with the Privacy Policy and any applicable Data Processing Agreement, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements, representations, and understandings.

16.3 Amendments

We may update these Terms at any time. We will notify you of material changes by email or by prominent notice on the Service at least 30 days before changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

16.4 Waiver and Severability

No waiver of any provision of these Terms is effective unless in writing. If any provision is found unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions remain in full force.

16.5 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all of our assets.

16.6 Force Majeure

Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including natural disasters, war, cyberattacks, government action, or third-party service failures.
